The sales process of an energy asset can be a daunting proposition. Mismanagement of this complex scenario can leave significant value on the table. Enventure has led the sales process of operating generation assets for many clients. In doing so, Enventure can best protect your financial interests using our extensive technical and financial know-how. Best of all, our flexibility means that Enventure is open to structuring our compensation so that our financial incentives are aligned with our client's.   • Develop risk mitigating strategies, including insurance coverage, for the key project construction and operating period risks. In conjunction with the Owner, establish the Project’s Risk Allocation Matrix that allocates Project risks among the key Project Participants and which will be used to develop term sheets and negotiate each Project Contract identified below.
  • Develop, negotiate and finalize a Site Purchase or Lease Agreement that is ready for Owner’s review and signature.
  • Develop, negotiate, and finalize the Revenue Contract(s) (e.g., the Power Sales/Tolling Agreement; Steam Sales Agreement; and Chilled Water Agreement, as applicable) that will be financeable under the requirements of the Project’s non-recourse lenders and ready for Owner’s review and signature.
  • Apply for interconnection to the local power grid and negotiate the Project’s Power Interconnection and Wheeling Agreements (if applicable).
  • Develop, negotiate, and finalize a Fuel Supply Agreement that is financeable and ready for Owner’s review and signature.
  • Develop and send to each pre-qualified EPC Contractor a Request for Proposal (RFP), with a technical section that conforms to the Project’s Design Basis and a commercial section that conforms to the Risk Allocation Matrix and preferred EPC term sheet. Evaluate proposals received and select the preferred EPC Contractor. Draft and negotiate an EPC Contract with the Preferred EPC Contractor always under the “threat” of walking away and negotiating with a second EPC Contractor.
